Sentinel Prime Terms for Privacy-First Tech Tools
These Terms and Conditions ("Terms") govern your access to and use of the websites, software, applications, and services offered by Sentinel Prime Inc. ("Sentinel Prime," "we," "us," or "our"), including Shift by Sentinel, Sentinel Shield, Sentinel Care, SentinelAI, and related products (collectively, the "Services"). By downloading, installing, subscribing to, or using any Service, you agree to these Terms.
1. Acceptance of Terms
By accessing or using our Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you do not agree to these Terms, do not use our Services.
2. Software License
Subject to your compliance with these Terms and payment of applicable fees, Sentinel Prime grants you a limited, non-exclusive, non-transferable, revocable license to install and use our software solely for personal or internal business purposes, as permitted by the specific product license you purchase or activate.
You may not:
- Reverse engineer, decompile, or disassemble the software except where prohibited by law
- Copy, modify, distribute, sell, lease, or sublicense the software
- Remove or alter proprietary notices, labels, or branding
- Use the software to develop competing products or services
- Circumvent license keys, activation systems, or usage restrictions
All rights not expressly granted are reserved by Sentinel Prime. Software is licensed, not sold.
3. Subscriptions and Billing
Certain Services (including Sentinel Care and Sentinel Shield subscriptions) are offered on a recurring subscription basis. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method at the then-current rate for your selected plan.
- Billing cycle: Subscriptions renew automatically at the end of each billing period unless canceled before renewal.
- Price changes: We may change subscription prices with reasonable advance notice. Continued use after a price change constitutes acceptance.
- Cancellation: You may cancel at any time through your account portal or by contacting us. Cancellation takes effect at the end of the current billing period unless otherwise stated.
- Activation codes: One-time and subscription purchases may include activation codes delivered by email. Codes are personal, non-transferable unless explicitly permitted, and may be revoked for fraud or abuse.
4. Refund Policy
Unless required by applicable law or explicitly stated at purchase:
- One-time software purchases (e.g., Shift): Refund requests made within 14 days of purchase may be considered if the software has not been substantially used and activation has not been abused. Contact paul@sentinelprime.org.
- Subscriptions: Fees are generally non-refundable for partial billing periods. Free trials, where offered, convert to paid plans unless canceled before the trial ends.
- Chargebacks: Initiating a chargeback without first contacting us may result in suspension of your license or account.
We reserve the right to issue refunds or credits at our sole discretion in cases of billing errors or service failures.
5. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law, regulation, or third-party rights
- Transmit malware, conduct unauthorized access, or interfere with networks or systems
- Harass, abuse, defraud, or impersonate others
- Scrape, crawl, or overload our infrastructure without permission
- Use Sentinel Care or support channels for purposes unrelated to legitimate technical assistance
- Resell, share, or publicly distribute activation codes or licenses without authorization
We may suspend or terminate access for violations of this section.
6. Privacy
Your use of our Services is also governed by our Privacy Policy, which describes what information we collect, how we use it, and your choices. By using the Services, you consent to our data practices as described in the Privacy Policy.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, Sentinel Prime disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components. Security software cannot guarantee detection of all threats. AI features may produce inaccurate or incomplete information. You are solely responsible for evaluating output and maintaining backups of your data.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEL PRIME INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including loss of profits, data, goodwill, or business interruption, arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to Sentinel Prime in the twelve (12) months preceding the claim, or (b) fifty U.S. dollars ($50).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Sentinel Prime from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
10. DMCA Copyright Policy
We respect intellectual property rights. If you believe content on our Services infringes your copyright, send a notice to our designated agent with:
- Identification of the copyrighted work claimed to be infringed
- Identification of the material claimed to be infringing and its location
- Your contact information
- A statement of good-faith belief that use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act

11. Third-Party Services
Our Services may integrate with or link to third-party services (including Stripe, Supabase, Groq, GitHub releases, and payment processors). We are not responsible for third-party terms, privacy practices, or availability. Your use of third-party services is at your own risk.
12. Modifications
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance. If you do not agree, discontinue use and cancel any active subscriptions.
13. Termination
We may suspend or terminate your access to any Service at any time for violation of these Terms, non-payment, fraud, or at our discretion with notice where practicable. Upon termination, your license ends and you must cease use and uninstall applicable software. Sections that by nature should survive (including disclaimers, limitations of liability, and indemnification) will survive termination.
14. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. You agree that exclusive jurisdiction and venue for disputes arising under these Terms shall lie in the state and federal courts located in California, and you waive any objection to such jurisdiction.
